Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the gym, classes, membership services, and website (collectively, the “Services”) offered by TX Fitness (“TX Fitness,” “we,” “us,” or “our”). By purchasing a membership, claiming a free trial, or otherwise using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to enter into these Terms on your own behalf. Minors may use the Services only with the consent of a parent or legal guardian who agrees to these Terms on the minor’s behalf and accepts responsibility for their conduct and any charges.

2. Memberships, Dues, and Billing

  • Membership fees, dues, enrollment fees, and taxes are disclosed at signup and are charged to the payment method you authorize.
  • Recurring memberships bill automatically on the cadence disclosed at signup (for example, biweekly) until canceled in accordance with these Terms.
  • Pricing may change with reasonable advance notice. Changes take effect on your next billing cycle after notice.
  • You are responsible for keeping your payment method current. Failed payments may result in suspension of access until resolved.
  • Contract plans carry a minimum commitment and any early-termination fee disclosed at signup. Month-to-month plans may be canceled without an early-termination fee.

3. Free Trials

If you sign up for a free trial, access ends automatically at the end of the trial period unless you convert to a paid membership. The free trial is limited to one per person and is available to new guests only. By signing up for a free trial, you agree to receive communications related to your trial, including status updates, expiration reminders, and service notifications, and (if you opt in) marketing messages as described in our SMS terms.

4. Cancellation and Refunds

You may cancel your membership in accordance with your membership agreement or by contacting us. Except where required by law, paid dues are non-refundable. Cancellation takes effect at the end of the current billing period. For contract plans, applicable early-termination fees may be charged upon cancellation prior to the contract end date.

5. Gym Rules and Conduct

  • Follow posted gym rules, staff instructions, and equipment guidelines at all times.
  • Do not harass, threaten, or harm other members or staff.
  • Do not misuse, damage, or remove equipment or gym property.
  • We may suspend or terminate access for conduct that violates these Terms, disrupts operations, or endangers others, with or without notice and without refund.

6. Health and Assumption of Risk

Physical exercise carries inherent risks, including but not limited to injury, illness, and (in rare cases) death. You represent that you are physically able to participate in the activities offered, and you voluntarily assume all risks associated with your use of the Services. Consult a physician before beginning any exercise program. You are responsible for exercising within your own capabilities. Use of the Services is also subject to any waiver you sign.

7. Electronic Communications and SMS

Program name. TX Fitness text-message updates.

By providing your phone number, you consent to receive transactional communications (receipts, billing notices, account alerts, class changes) from us by email and SMS. Marketing communications are sent only with your opt-in consent, which you may withdraw at any time by replying STOP to an SMS or using the unsubscribe link in a marketing email.

Message and data rates. Standard message and data rates may apply to every SMS message sent or received, in accordance with the rate plan you have with your wireless carrier. Message frequency varies. You are solely responsible for all charges imposed by your wireless carrier. Consent to receive SMS messages is not a condition of purchase of any TX Fitness product or service.

Carrier liability. Wireless carriers are not liable for delayed, undelivered, or misdirected messages. Delivery of SMS messages is subject to effective transmission by your wireless-service provider and is outside of our control.

8. Intellectual Property

The Services, including all text, graphics, logos, class programming, and software, are owned by TX Fitness or its licensors and are protected by U.S. and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the website for your personal, non-commercial use.

9. Third-Party Services

The Services rely on third-party providers, including GoHighLevel (HighLevel, Inc.) for CRM, marketing automation, and delivery of SMS and email on our behalf, a payment processor for billing, and analytics tools. We are not responsible for the acts or omissions of third-party providers, and your use of their services is governed by their own terms.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TX FITNESS, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICES.

12. Indemnification

You agree to indemnify and hold harmless TX Fitness and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Services or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Sections of these Terms that by their nature should survive termination will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Services shall be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Effective” date above. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
